Staley Electric Services<\/b><\/li>\n<\/ol>\nStaley Electric provides electrical services for residential, commercial, and industrial clients, including but not limited to:<\/span><\/p>\n\n- Electrical troubleshooting and repair<\/span><\/li>\n
- Installations, upgrades, and rewiring<\/span><\/li>\n
- Generator sales, installation, and maintenance<\/span><\/li>\n
- Safety inspections<\/span><\/li>\n
- Preventative maintenance<\/span><\/li>\n
- Emergency electrical services<\/span><\/li>\n
- Membership programs (Staley Shield)<\/span><\/li>\n
- Community programs (SOAR Program)<\/span><\/li>\n<\/ul>\n
All services are scheduled and performed based on technician availability and customer location.<\/span><\/p>\n\n- Quotes, Pricing & Billing<\/b><\/li>\n<\/ol>\n
3.1 Estimates<\/b>
<\/span>Staley Electric may provide written or verbal estimates before performing work. Estimates are <\/span>not guarantees<\/b> and final pricing may vary based on conditions found during service.<\/span><\/p>\n3.2 Pricing & Acceptance<\/b>
<\/span>By allowing our technicians to begin work, you agree to the pricing presented at the time of service.<\/span><\/p>\n3.3 Payment Terms<\/b>
<\/span>Payment is due upon completion of service unless otherwise agreed in writing. Staley Electric accepts major credit cards, checks, and financing options approved by Staley Electric.<\/span><\/p>\n3.4 Late or Declined Payments<\/b>
<\/span>All late payments shall bear interest at the lesser of (a) the rate of 1% per month and (b) the highest rate permissible under applicable law, calculated daily and compounded monthly. You agree that a service fee will be charged to you for any returned checks. You also agree to reimburse Staley Electric for all reasonable costs incurred in collecting any late payments, including, without limitation, attorney fees. In addition to all other remedies available under this Agreement or at law (which Staley Electric does not waive by the exercise of any rights hereunder), Staley Electric shall be entitled to suspend the provision of any Services if the Customer fails to pay any amounts when due.\u00a0<\/span><\/p>\n\n- Customer Responsibilities<\/b><\/li>\n<\/ol>\n
You agree to:<\/span><\/p>\n\n- Provide safe and reasonable access to the service area;<\/span><\/li>\n
- Provide accurate information regarding your property and electrical systems;<\/span><\/li>\n
- Respond promptly to any reasonable requests from Staley Electric for instructions, information, or approvals required by Staley Electric to provide the Services;<\/span><\/li>\n
- Notify Staley Electric of any hazardous conditions; and\u00a0<\/span><\/li>\n
- Ensure pets, valuables, and sensitive items are secure.<\/span><\/li>\n<\/ul>\n
Failure to do so may result in additional charges, rescheduling, or denial of service.<\/span><\/p>\n\n- Warranty & Guarantee<\/b><\/li>\n<\/ol>\n
Staley Electric stands behind the quality of our workmanship. Warranty terms may vary depending on service type, materials used, and manufacturer specifications. Staley Electric a <\/span>limited workmanship warranty<\/b> on services performed which will be provided to you in writing with a written estimate before Staley Electric provides those services. This warranty does not cover:<\/span><\/p>\n\n- Customer-supplied materials;<\/span><\/li>\n
- Damage caused by misuse, vandalism, accident, neglect, or third-party work (i.e., work performed by anyone other than a Staley Electric Representative); or\u00a0\u00a0<\/span><\/li>\n
- Environmental events (including damages caused by fires, storms, power surges, or other \u201cActs of God\u201d).<\/span><\/li>\n<\/ul>\n
Any applicable warranties for products (e.g., Kohler generators) purchased in connection with Staley Electric Services are governed by the manufacturer\u2019s terms and conditions.\u00a0\u00a0\u00a0\u00a0<\/span><\/p>\nUNLESS OTHERWISE EXPRESSLY PROVIDED IN A SEPARATE WRITING BY STALEY ELECTRIC, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, STALEY ELECTRIC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE.<\/span><\/p>\n\n- Staley Shield Membership Program<\/b><\/li>\n<\/ol>\n
Membership benefits (including priority scheduling, service discounts, and annual safety inspections) are subject to the terms provided at the time of enrollment. Staley Electric reserves the right to modify or discontinue membership benefits with notice.<\/span><\/p>\n\n- SOAR Program Disclosure<\/b><\/li>\n<\/ol>\n
The <\/span>SOAR Program (Staley Opens Its Heart for Arkansas)<\/b> donates a percentage of qualifying service bills to selected organizations when properly referenced at the time of booking. Staley Electric may adjust program partners or donation percentages at any time.<\/span><\/p>\n\n- Emergency & After-Hours Services<\/b><\/li>\n<\/ol>\n
Emergency and after-hours services may incur additional charges. Estimated arrival times for emergencies are not guaranteed due to workload, distance, and safety considerations.<\/span><\/p>\n\n- Website Use Terms<\/b><\/li>\n<\/ol>\n

To the fullest extent permitted by applicable law, in no event will Staley Electric or its affiliates, or any of its or their respective employees, agents, or representatives have any liability arising from:<\/span><\/p>\n(a)<\/span> personal injury, property damage, lost profits, cost of substitute goods or services, loss of data, loss of goodwill, business interruption, computer failure or malfunction, or any other consequential, incidental, indirect, exemplary, special, or punitive damages;<\/span><\/p>\n(c)<\/span> damages resulting from customer negligence or unsafe conditions;<\/span><\/p>\n(c)<\/span> delays caused by weather, supply chain issues, or utility provider actions; or<\/span><\/p>\n(d)<\/span> damage to outdated, already-compromised, or unsafe electrical components.<\/span><\/p>\nThe foregoing limitations will apply whether such damages arise out of breach of contract, tort (including negligence), or otherwise and regardless of whether such damages were foreseeable or Staley Electric was advised of the possibility of such damages.\u00a0\u00a0\u00a0<\/span><\/p>\nIN NO EVENT SHALL STALEY ELECTRIC\u2019S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO SERVICES PROVIDED, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.<\/span><\/p>\n\n- Indemnification<\/b><\/li>\n<\/ol>\n

This Agreement is governed by and construed in accordance with the internal laws of the State of Arkansas without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to this Agreement shall be instituted exclusively in the federal courts of the United States or the courts of the State of Arkansas in each case located in Little Rock, Arkansas. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.<\/span><\/p>\n\n- Entire Agreement<\/b><\/b><\/li>\n<\/ol>\n
